1. Acceptance of Terms

By accessing or using TalentValue, Inc. ("TalentValue," "we," "our," or "us") services, websites, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing the Service. These Terms apply to all users, including visitors, customers, and contributors to the Service.

2. Description of Service

TalentValue provides AI-powered talent analytics and compensation intelligence services, including but not limited to:

  • Compensation benchmarking and market analysis
  • Talent search and recruitment tools
  • Pay equity analysis and reporting
  • Compensation profile management
  • Market tracking and trend analysis
  • Related analytics and reporting services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts and Registration

To access certain features of the Service, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials. TalentValue is not liable for any loss or damage arising from your failure to protect your account information.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service for any illegal or unauthorized purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users without their consent
  • Use automated systems to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or sublicense the Service without authorization

We reserve the right to suspend or terminate your access to the Service if you violate this Acceptable Use Policy.

5. Payment Terms

5.1 Subscription Fees

Certain features of the Service may require payment of subscription fees. By subscribing, you agree to pay all fees associated with your subscription plan as described on our pricing page.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected during registration. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

5.3 Price Changes

We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the effective date of price changes constitutes acceptance of the new pricing.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

6. Intellectual Property Rights

The Service, including its original content, features, and functionality, is owned by TalentValue and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. This license does not include the right to:

  • Reproduce, distribute, or create derivative works of the Service
  • Use the Service for commercial purposes beyond your subscription
  • Remove any proprietary notices or labels
  • Transfer or sublicense your rights to use the Service

7. User Content and Data

You retain ownership of any data, content, or information you submit to the Service ("User Content"). By submitting User Content, you grant TalentValue a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to grant the license described above. You agree not to submit User Content that:

  • Violates any laws or third-party rights
  • Contains confidential or proprietary information without authorization
  • Is false, misleading, or defamatory
  • Infringes on intellectual property rights

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. Please review our Privacy Policy, available at /privacy, to understand our practices.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TalentValue does not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Service.

The compensation data and analytics provided through the Service are estimates based on available market data and should not be considered as definitive or binding. You should consult with qualified professionals for specific compensation decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALENTVALUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL TALENTVALUE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO TALENTVALUE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless TalentValue, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us or using the account deletion features in the Service.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.
